UNITED AIRLINES FANTASY FLIGHT
ARTICLES OF ASSOCIATION

1. This association is organized exclusively for charitable purposes within the meaning of section 501- C – 3 of the Internal Revenue Code and will generate funds to provide underprivileged children with an opportunity to experience an airplane flight and a Christmas celebration. Notwithstanding any other provision of these articles, the association shall not carry on any other activities not permitted to be carried on (a) by an association exempt from Federal income tax under section 501- C – 3 of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Law) or (b) by an association, contributions to which are deductible under section 170(c) (2) of the Internal Revenue Code of 1986 (corresponding provision of any future United States Internal Revenue Law).

Upon the dissolution of this association, assets shall be distributed for one or more exempt purposes within the meaning of section 501- C – 3 of the Internal Revenue Code or corresponding section of any future federal tax code, or shall be distributed to the Federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed by the Court of Competent Jurisdiction of the county in which the principle office of the association is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

2. The United Airlines Fantasy Flight Association will meet as needed to plan and implement an annual Fantasy Flight and Christmas celebration for the underprivileged children.

3. Participation in the association is limited only to United Airlines retirees, employees, flight attendants and pilots who live in the metropolitan Phoenix area.

4. All participation will be on a voluntary basis and no compensation will be collected or paid to any participant, member or sponsor.

5. A checking account will be maintained for collecting and distributing funds for any project that will help generate funds for underprivileged children and the Fantasy Flight. All expense receipts and accounting records will be maintained and recorded by the treasurer.

6. Funds will be collected through charity solicitations of sponsors, corporations and individuals and used to purchase toys, clothing, food and decorations deemed appropriate for the children.

7. The Articles of Association may be changed as needed with the approval of the executive board.

8. The board may designate a portion of the remaining funds to be donated to a specific charity.

9. The Articles of Association were adopted October 15, 1996, and were granted October 24, 2006 tax exemption certificate number 30 – 0388407.
